  5. 1. Introduction

  6. These Terms and Conditions (the "Terms") govern your use of the website located at https://tracoptics.vision (the "Site"), operated by Trac Optics Corp. ("Trac Optics", "we", "us", "our"), and your purchase of any products or services from us. By accessing the Site or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Site.

  7. Please read these Terms together with our Privacy Policy, Cookie Policy, Shipping Policy and Refund Policy, each of which is incorporated into these Terms by reference and available on the Site.

  8. 2. Eligibility

  9. You must be at least 18 years of age and have the legal capacity to enter into a binding contract in order to purchase from the Site. By using the Site you represent and warrant that you meet these requirements. If you are under 18, you may use the Site only with the involvement of a parent or guardian, who will be responsible for the transaction.

  10. 3. Account Registration

  11. A customer account is required in order to complete a purchase on the Site. You agree to provide accurate, current and complete information when registering, and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at info@tracoptics.vision if you believe your account has been used without your authorization.

  12. We may suspend or close an account that contains inaccurate information, that is used in breach of these Terms, or where we reasonably suspect fraud.

  13. 4. Products, Pricing and Availability

  14. We sell sports training accessories and related products. Product descriptions, images, colours and specifications are provided for informational purposes and may vary slightly from the item you receive. We make reasonable efforts to display products accurately, but we do not warrant that descriptions or images are error-free.

  15. All prices are shown and charged in Canadian dollars (CAD) unless expressly stated otherwise. Prices, availability and promotions are subject to change without notice. We reserve the right to limit order quantities and to refuse or cancel any order, including where a product has been listed at an incorrect price or with incorrect information. If we cancel an order you have already paid for, we will refund you in full.

  16. 5. Orders and Acceptance

  17. Placing an order constitutes an offer to purchase the products in that order, subject to these Terms. We may accept or decline an order at our discretion. An order is accepted, and a contract formed, when we send you an order confirmation email or when we ship the products, whichever we specify in the confirmation. An automated acknowledgement of receipt is not, by itself, acceptance of your order.

  18. 6. Payment

  19. We accept the payment methods displayed at checkout. Card payments are processed by Stripe, our third-party payment processor. We do not store your full payment card details; those are handled by Stripe under its own terms and privacy policy.

  20. By submitting an order you authorize us (through our payment processor) to charge your selected payment method for the full order total, including the price of the products, applicable taxes, shipping charges, and any duties and import fees collected at checkout. If your payment is declined or cannot be authorized, we may cancel the order.

  21. 7. Shipping and Delivery

  22. Available shipping methods, carriers, estimated transit times and costs are displayed at checkout and described in our Shipping Policy at https://tracoptics.vision/shipping-policy. All delivery dates and transit times are estimates only and are not guaranteed.

  23. Risk of loss and title to the products pass to you when the products are delivered to the carrier, unless otherwise stated at checkout or required by law.

  24. 8. Returns, Exchanges and Refunds

  25. Our return and refund terms are set out in our Refund Policy at https://tracoptics.vision/refund-policy. Unless otherwise stated there or required by law, returns must be authorized in advance and must meet the conditions described in that policy. Approved refunds are issued to the original payment method after the returned item has been received and inspected.

  26. 9. Taxes, Duties and Import Fees

  27. Prices displayed on the Site do not include applicable sales taxes unless stated. Canadian sales taxes (GST/HST/PST, as applicable) are calculated and added at checkout for orders shipped within Canada.

  28. For international orders, applicable duties, import taxes and customs fees are calculated and collected at checkout on a Delivered Duty Paid (DDP) basis, so that in the ordinary course you will not be asked to pay additional duties on delivery. Where a destination country or carrier does not permit prepayment of duties, this will be indicated at checkout, and any duties, taxes or brokerage fees charged on arrival will be your responsibility.   29. 10. Promotions and Discount Codes

  30. Promotions, coupon codes and discounts are subject to their own terms, may be limited to one per customer or per order, cannot be combined unless we say so, have no cash value, and may be modified or withdrawn at any time. We reserve the right to cancel or refuse orders where a promotion has been misused, and promotions are void where prohibited by law.

  31. 11. Intellectual Property

  32. All content on the Site — including text, graphics, logos, product designs, images, video, and software — is owned by or licensed to Trac Optics Corp. and is protected by Canadian and international copyright, trademark, patent and other intellectual property laws. The Trac Optics name and logo are our trademarks.

  33. You may not copy, reproduce, modify, distribute, publish, transmit, sell, or create derivative works from any part of the Site or our content without our prior written permission, except that you may view and print pages for your own personal, non-commercial use.

  34. 12. User Content

  35. If you submit reviews, comments, photographs, videos or other content to the Site or to our social media channels ("User Content"), you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to use, reproduce, modify, adapt, publish, translate and display that content in connection with our business, including in marketing, for as long as we choose.

  36. You represent and warrant that you own or have the necessary rights to the User Content you submit, that it is accurate, and that it does not infringe the rights of any third party or violate any law. We may remove or refuse to publish any User Content at our discretion.

  37. 13. Prohibited Conduct

  38. You agree not to:

  39. use the Site for any unlawful purpose or in violation of these Terms;

  40. post or transmit content that is infringing, defamatory, harassing, deceptive, obscene or otherwise harmful;

  41. attempt to gain unauthorized access to the Site, other users' accounts, or our systems or networks;

  42. use any robot, scraper, or automated means to access, monitor or copy the Site without our written permission;

  43. introduce viruses or other malicious code, or otherwise interfere with the operation, security or integrity of the Site;

  44. resell our products for commercial purposes without our written authorization, or purchase products for the purpose of fraudulent resale.

  45. 14. Product Use, Fit and Safety

  46. Our products are sports training accessories intended for use by healthy individuals in a training context. They are not personal protective equipment unless we expressly state otherwise in the product description, and they are not certified to prevent injury. You are responsible for reading and following all instructions, warnings and fitting guidance supplied with a product, for ensuring the product is appropriate for your intended activity and skill level, and for inspecting it before each use.

  47. Do not use a product that is damaged, worn, or altered. Consult a qualified physician, coach or trainer before beginning any new training activity. Training carries inherent risks of injury, and no product can eliminate those risks.

  48. 15. Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR REQUIRED BY LAW, THE SITE AND THE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

  50. Some jurisdictions do not allow the exclusion of certain warranties or conditions. Nothing in these Terms excludes, restricts or modifies any statutory right, warranty, condition or remedy that cannot be excluded, restricted or modified by law, including under the Business Practices and Consumer Protection Act (British Columbia) or the Sale of Goods Act (British Columbia).

  51. 16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TRAC OPTICS CORP., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR ANY PRODUCT PURCHASED FROM US, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  53. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR ANY PRODUCT WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE PRODUCT GIVING RISE TO THE CLAIM.

  54. Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, or death or personal injury caused by our negligence, where such limitation is not permitted by law.

  55. 17. Indemnification

You agree to indemnify, defend and hold harmless Trac Optics Corp. and its directors, officers, employees and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your User Content, your misuse of any product, or your violation of any law or the rights of a third party.

  57. 18. Termination

  58. We may suspend or terminate your access to the Site or your account at any time, with or without notice, including for a breach of these Terms. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification and governing law — will survive. Termination does not limit any other remedy available to us at law or in equity.

  59. 19. Governing Law and Dispute Resolution

These Terms, and any dispute arising out of or in connection with them, the Site, or any product purchased from us, are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in that province, without regard to conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

  61. You agree that any dispute will be brought exclusively in the courts of the Province of British Columbia, Canada, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents a consumer from bringing a claim in a small claims court or other forum where applicable law gives them that right.

  62. 20. Changes to These Terms

  63. We may modify these Terms at any time. Changes take effect when the revised Terms are posted on the Site with an updated "Last updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms. Where required by law, we will provide advance notice of material changes. The Terms in effect at the time you place an order govern that order.

  64. 21. Third-Party Links and Services

The Site may contain links to third-party websites, applications or services that we do not own or control, and relies on third-party service providers including Wix (website hosting and e-commerce platform), Stripe (payment processing) and Shippo (shipping). We are not responsible for the content, products, policies or practices of any third party. Your use of third-party websites and services is at your own risk and subject to their terms.

Our Privacy Policy, available at https://tracoptics.vision/privacy-policy, describes how we collect, use, disclose and protect your personal information, and our Cookie Policy at https://tracoptics.vision/cookie-policy describes our use of cookies and similar technologies. By using the Site, you agree to those policies.

  68. 23. International Customers

  69. We ship to customers in most countries. If you order from outside Canada, you are responsible for ensuring that the products may lawfully be imported into your country and that your use of them complies with local law. Where duties and import taxes are not prepaid at checkout, you are responsible for those charges. Products may not be exported or re-exported to any country subject to Canadian trade sanctions or embargoes.

  70. 24. Severability

  71. If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will remain in full force and effect.

  72. 25. Entire Agreement

  73. These Terms, together with the policies referenced in them and any order confirmation, constitute the entire agreement between you and Trac Optics Corp. regarding the Site and your purchases, and supersede all prior agreements, representations and understandings. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets.
